Kylas CRM WhatsApp Business Solution Terms and Conditions
These Terms are entered into as of the date on which the Client agrees to these Terms (“Effective Date”) between Kylas CRM (“Kylas,” “we,” or “us”) and the company agreeing to these Terms (“Client” or “you”).
1. Acceptance of TermsBy agreeing to these Terms, you accept and are bound by the Kylas CRM WhatsApp Business Solution Terms of Service (the “TOS”). These Terms apply in conjunction with the (https://www.whatsapp.com/legal/business-terms). In case of any conflict, these Terms will control solely to the extent of such conflict. Any capitalized terms used here and not otherwise defined shall have the meanings provided in the TOS.
2. Usage RequirementsYou agree to use the Kylas CRM WhatsApp Business Solution in accordance with the following requirements:
- You may not distribute, sell, resell, or rent the WhatsApp Business Solution to third parties.
- You agree not to share, transfer, or distribute data obtained via the WhatsApp Business Solution with third parties.
3. Client ISV Onboarding RequirementsIf you plan to integrate third-party vendors (“Client ISVs”) into the WhatsApp Business Solution:
- You must disclose existing Client ISVs to Kylas within fourteen (14) days of the Effective Date, including the Client ISV’s name, address, and services provided.
- For new Client ISVs, you must notify Kylas in advance, receive written approval, and ensure the ISV has completed any required compliance checks and executed Kylas’ ISV Terms.
4. Compliance Obligations- All Client ISVs must undergo compliance checks and sign agreements consistent with Kylas CRM’s terms.
- You will maintain an updated list of Client ISVs and their services and provide this to Kylas upon request.
5. Restrictions on Resale and BrandingYou may not allow any Client ISV to resell the WhatsApp Business Solution, use our names or trademarks without express permission, or give access to the WhatsApp Business Solution to unauthorized third parties.
6. Termination of Client ISVsUpon Kylas’ written notice, you must off-board any Client ISV not complying with these Terms, subject to a wind-down period not to exceed thirty (30) days, unless prohibited by applicable law.
7. Client ResponsibilitiesYou are responsible for your Client ISVs’ actions and compliance with applicable laws, including any breach or misuse of the WhatsApp Business Solution.
8. Anti-Corruption and ComplianceYou represent that you have not engaged in, nor will you engage in, any form of bribery or illegal payments in connection with the WhatsApp Business Solution.
9. ConfidentialityYou agree to treat all information related to these Terms as confidential, in line with the confidentiality obligations in the TOS.
10. Term and TerminationThese Terms become effective on the date you accept them and continue unless terminated in line with these Terms or the TOS. Either party may terminate these Terms with thirty (30) days' written notice, and Kylas may terminate immediately if compliance violations occur.
11. MiscellaneousAll references to “including” mean “including without limitation,” and these Terms are governed as outlined in the TOS.
